1. Introduction
Welcome to JSwebworks (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website and services. By engaging our services or accessing our website, you agree to comply with these Terms.
2. Scope of Services
We provide web design and related services, including UI/UX design, website development, and managed hosting services. The specifics of each project will be detailed in a separate contract or agreement.
3. Client Responsibilities
Provide all necessary content, assets, and access (e.g., hosting credentials) promptly.
Ensure that provided materials do not infringe on third-party copyrights or intellectual property.
Review and approve project deliverables in a timely manner.
4. Payment Terms
Payment is required as outlined in your project agreement. A 20% non-refundable deposit is due upfront to secure the project. Remaining payments are due upon the specific milestones outlined in a separate personalized project agreement. Late payments may be subject to a late fee of 3% of the total project cost for every 30-day period past the due date.
5. Revisions and Approvals
We offer 3 free revisions within the project scope. Additional revisions or changes outside the scope will be billed at $50/hour.
6. Intellectual Property Rights
Upon full payment, the client will own the final design files, except for any third-party assets or software used in the project. We reserve the right to showcase completed projects in our portfolio or marketing materials unless explicitly agreed otherwise.
7. Cancellation and Refund Policy
Cancellations must be made in writing. Refunds for canceled projects will be assessed based on the work completed up to the cancellation date. The initial deposit is non-refundable.
8. Limitation and Liability
We are not liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services. We do not guarantee uninterrupted access to third-party platforms, hosting, or integrations.
9. Third-Party Tools and Services
We may use third-party services (e.g., hosting providers, plugins) to deliver your project. We are not responsible for issues arising from third-party tools or services.
10. Confidentiality
We will maintain the confidentiality of all proprietary information shared during the project. This excludes information already publicly available or required to be disclosed by law.
11. Dispute Resolution
In the event of a dispute, both parties agree to resolve matters through mediation before pursuing legal action. Any disputes arising out of or related to the Terms will be subject to the exclusive jurisdiction of the courts located in the State of Arizona, USA.
12. Governing Law
These Terms are governed by the laws of the State of Arizona, United States of America, without regard to its conflict of laws principles.
13. Changes to Terms
We reserve the right to update these Terms at any time. Continued use of our website or services constitutes acceptance of any updated Terms.
